These Terms & Conditions ("Terms") govern the transportation, logistics, repair, roadside, tire, and parking services (collectively, the "Services") provided by Blue & Yellow Trucking LLC ("Blue & Yellow", "we", "us", or "our") to its customers, shippers, drivers, and partners ("you"). By requesting or using our Services you agree to be bound by these Terms.

1. Scope of Services

Blue & Yellow provides local and long-haul freight transportation, LTL/FTL, cartage, mechanic shop services, 24/7 roadside assistance, tire services, and secure truck parking. The specific scope of any engagement is described in the applicable rate confirmation, work order, or written quote.

2. Quotes & Acceptance

Quotes are valid for the period stated on the quote or, if none, for thirty (30) days. Services are confirmed when a signed rate confirmation, work order, or written acceptance is received from the customer.

3. Rates, Invoicing & Payment

Unless otherwise agreed in writing, invoices are due Net-30 from invoice date. Past-due balances accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. Disputed charges must be raised in writing within fifteen (15) days of the invoice date.

4. Cargo Liability & Insurance

As a motor carrier, Blue & Yellow maintains cargo and auto liability insurance consistent with FMCSA requirements. Liability for loss or damage to cargo is governed by 49 U.S.C. § 14706 (Carmack Amendment) and any applicable bill of lading or contract. Certificates of insurance are available upon request.

6. Repair, Roadside & Tire Services

Repair, roadside, and tire services are billed at the rates in effect at the time of service, including parts, labor, mileage, and any after-hours premiums. Parts carry only the manufacturer's warranty. Labor is warranted against defects in workmanship for thirty (30) days.

7. Truck Parking

Parking is provided on an "as-is" basis. Blue & Yellow is not a bailee and does not assume responsibility for theft, vandalism, or damage to parked vehicles, trailers, or contents. Vehicles left more than thirty (30) days past the paid period may be towed at the owner's expense.

8. Driver & Owner-Operator Engagements

Drivers and owner-operators engaged by Blue & Yellow are subject to a separate written agreement that addresses compensation, DOT compliance, safety standards, drug & alcohol testing, and termination. These Terms do not create such an engagement.

9. Cancellations & Truck-Order-Not-Used

Cancellations made less than four (4) hours before scheduled pickup may incur a truck-order-not-used (TONU) charge equal to the agreed minimum line-haul rate or $250, whichever is greater.

10. Limitation of Liability

To the maximum extent permitted by law, Blue & Yellow's aggregate liability arising out of or relating to the Services shall not exceed the amounts paid by the customer for the specific Service giving rise to the claim. In no event shall Blue & Yellow be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits.

11. Force Majeure

Blue & Yellow is not liable for delays or failures in performance caused by events beyond its reasonable control, including weather, road closures, labor disputes, government action, fuel shortages, or acts of God.

12. Governing Law & Venue

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles. Exclusive venue for any dispute lies in the state or federal courts located in Mecklenburg County, North Carolina.

13. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. Continued use of the Services after a change constitutes acceptance of the revised Terms.
